End User License Agreement (EULA)

1. Introduction

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Nodex System ("we", "our", "us") for the use of the NodeX POS application ("App"). By installing or using the App, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the App.

2. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal or business use, in accordance with the terms of this Agreement.

3. Restrictions

You agree not to:

• Modify, copy, or create derivative works based on the App;
• Distribute, transfer, sublicense, lease, lend, or rent the App to any third party;
• Reverse engineer, decompile, or disassemble the App;
• Use the App in any manner that violates any applicable laws or regulations.

4. Ownership

The App is licensed, not sold, to you. We retain all rights, title, and interest in and to the App, including all intellectual property rights.

5. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the App and destroy all copies of the App.

6. Disclaimer of Warranties

The App is provided "as is" and "as available", without warranty of any kind. We disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any damages whatsoever arising out of or related to your use of the App.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles.

9. Changes to this Agreement

We reserve the right to modify this Agreement at any time. Your continued use of the App after any such changes constitutes your acceptance of the new terms.
